1. Agreement to Terms

By accessing or using AYRO AI's services ("Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you disagree with any part of these terms, you may not access our Services.

2. Services Description

AYRO AI provides enterprise AI automation solutions, including but not limited to:

  • Custom AI agent development and deployment
  • Support automation systems
  • Voice AI implementations
  • Document processing solutions
  • Custom integrations with existing systems

Services are delivered following a consultation, scoping, and agreement process outlined in individual Statement of Work (SOW) documents.

3. Service Engagement Process

3.1 Consultation Phase

Initial consultation calls are provided at no cost to assess project feasibility and requirements.

3.2 Scoping and Proposal

Following consultation, we provide a detailed proposal including scope, timeline, deliverables, and costs.

3.3 Statement of Work

Upon agreement, a formal SOW is executed detailing all project parameters, acceptance criteria, and commercial terms.

4. Payment Terms

4.1 Deposit Requirements

A deposit of 50% of the total project cost is required before work commences. For projects exceeding £50,000, milestone-based payment schedules may be negotiated.

4.2 Payment Schedule

  • 50% deposit upon SOW execution
  • Remaining 50% upon completion and delivery
  • Milestone payments as specified in SOW for larger projects

4.3 Late Payments

Invoices are due within 14 days of issuance. Late payments may incur interest at 2% per month and may result in suspension of services.

4.4 Ongoing Service Fees

Monthly support, hosting, and API costs are billed separately and are due in advance. Typical ongoing costs range from £3,000-£8,000/month depending on usage and complexity.

5. Refund Policy

5.1 Cancellation Before Work Begins

If you cancel before development work begins, 80% of your deposit is refundable. A 20% administrative fee covers initial scoping and planning work.

5.2 Cancellation During Development

Once development begins, refunds are calculated based on work completed. You will be charged for:

  • All hours worked to date at the agreed hourly rate
  • Any third-party costs already incurred
  • 20% of remaining contract value as cancellation fee

5.3 Post-Delivery Refunds

Once deliverables have been provided and accepted, no refunds are available. Issues with delivered work are addressed through our warranty and support terms.

6. Warranties and Disclaimers

6.1 Service Warranty

We warrant that Services will be performed with reasonable care and skill. For 90 days following delivery, we will correct defects in deliverables at no additional cost.

6.2 Third-Party Services

Our solutions integrate with third-party services (OpenAI, Anthropic, etc.). We are not responsible for changes, outages, or costs associated with these services.

6.3 AI Output Disclaimer

AI systems may produce unpredictable or incorrect outputs. You are responsible for implementing appropriate oversight, validation, and human review processes for business-critical applications.

6.4 No Liability for Client Data

We are not responsible for the accuracy, completeness, or legality of data you provide or process through our systems. You warrant that you have necessary rights and permissions for all data processed.

7. Limitation of Liability

To the maximum extent permitted by law, AYRO AI's total liability for any claims arising from Services shall not exceed the total amount paid by you in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

8. Intellectual Property

8.1 Client Ownership

Upon full payment, you own the custom code and configurations developed specifically for your project.

8.2 AYRO AI Retention

We retain ownership of our methodologies, frameworks, reusable components, and pre-existing intellectual property.

8.3 Third-Party Components

Solutions may incorporate open-source or third-party components subject to their respective licenses.

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of services.

10. Data Processing and Compliance

10.1 Data Processing Agreement

Where we process personal data on your behalf, we act as a data processor. A Data Processing Agreement (DPA) is available upon request and is required for GDPR compliance.

10.2 Security Measures

We implement appropriate technical and organizational measures to protect data, including encryption, access controls, and regular security assessments.

10.3 Sub-processors

We use vetted sub-processors (cloud hosting, AI API providers) who meet security and compliance standards. A list is available upon request.

11. Service Level Agreements

SLAs for uptime, response times, and support are defined in individual SOWs. Standard support response times:

  • Critical (P1): 4 hours
  • High (P2): 1 business day
  • Medium (P3): 3 business days
  • Low (P4): 5 business days

12. Termination

Either party may terminate services with 30 days written notice. Immediate termination is permitted for material breach. Upon termination, you pay for all services rendered and costs incurred to date.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Disputes will be resolved through good faith negotiation, followed by binding arbitration if necessary.

14. Changes to Terms

We may modify these Terms at any time. Significant changes will be communicated via email. Continued use of Services after changes constitutes acceptance.

15. Entire Agreement

These Terms, together with any SOW, constitute the entire agreement between parties and supersede all prior agreements and understandings.
